Terms of Service

Welcome to Diffy. The following terms and conditions (the “Terms”) govern your use of the Diffy website and all content, services, features, and products available through our platform (collectively, the “Service”). By accessing or using the Service, you agree to abide by these Terms and all other rules, policies, and procedures published by Diffy (collectively, the “Agreement”). If you do not agree to these Terms, you may not access or use the Service.
1. Your Diffy Account
If you create an account with Diffy, you are responsible for maintaining its security and for all activities conducted under your account. You agree to:

Diffy is not responsible for any loss or damage resulting from your failure to comply with these obligations.
2. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and any content you upload, post, or otherwise provide through the Service. Prohibited uses include:
Violating applicable laws or regulations.
Uploading or sharing harmful, unlawful, or infringing content.
Attempting to disrupt or compromise the security or functionality of the Service.
Diffy reserves the right to remove any content or terminate accounts that violate these Terms.
3. Payment and Subscription Terms
By selecting a subscription plan, you agree to pay the listed monthly or annual fees. Subscriptions automatically renew unless canceled before the renewal date. You authorize Diffy to charge your payment method on file for the applicable renewal fees, xincluding taxes. Subscription fees are non-refundable except where required by law. Prices listed are GST-exclusive. For companies in Singapore, GST of 9% is applicable.
4. Credits System
Credits Allocation: Subscription plans include a fixed number of credits each month. Credits can be used for any services provided by Diffy as outlined in your plan.
Credits Rollover: Unused credits can roll over for up to six months, after which they will expire.
Credits Usage: Credits are non-transferable and cannot be redeemed for cash.
Additional Credits: If your needs exceed your monthly credit allocation, you may purchase additional credits at the current rate provided by Diffy. These credits follow the same usage and expiration rules as subscription credits.
Rate Adjustments: Diffy reserves the right to adjust its credit rate card to include new services, remove outdated services, or revise costings. Such adjustments are aimed at providing an enhanced and more competitive service.
5. Service Requests and Delivery
Request Submission: All service requests must be submitted through the designated platform or communication channel specified by Diffy.
Turnaround Time: Estimated delivery times vary based on the type and complexity of the service. Delays may occur based on the volume of requests or specific project requirements.
Revisions: While Diffy includes revisions as part of its service, excessive revisions or repeated changes beyond what is reasonable for the scope of work may incur additional credit charges. Clients will be notified before any additional credits are deducted.
6. Client Responsibilities
Provision of Materials: Clients are responsible for providing accurate and complete information, including assets, branding guidelines, or other materials required for requested services.
Timely Responses: Clients must respond to requests for clarification or feedback within reasonable timeframes to ensure timely delivery of services.
Compliance: Clients must ensure that all materials and requests comply with applicable laws and do not infringe on third-party rights.
7. Asset Ownership
Client Ownership: All paid assets created as part of a subscription plan or additional credits purchase become the property of the client upon full payment.
Free or Proposal Work: Assets created as part of free creatives, pitches, or proposals remain the property of Diffy. Diffy reserves the ownership and right of assignment for these assets.
8. Stock Assets and Additional Costs
All plans include reasonable stock images, videos, and assets. However, unique assets or creatives requiring special licensing or premium stock resources are not included in Diffy’s standard costs. These additional expenses will be billed to the client separately.
9. Data and Confidentiality
Client Data: Diffy will not share your proprietary or sensitive information with third parties without your consent, except as required to fulfill the services or comply with legal obligations.
Non-Disclosure Agreement (NDA): Clients may request an NDA to ensure confidentiality of shared materials.
Data Security: Diffy employs industry-standard practices to safeguard your data but cannot guarantee absolute security against breaches or attacks.
10. Marketing and Portfolio Use
Diffy reserves the right to showcase completed projects in its portfolio or marketing materials.
11. Suspension of Services
Non-Payment: Diffy reserves the right to suspend or terminate access to the Service if subscription payments are not received on time.
Policy Violations: Accounts found in violation of these Terms may be suspended or terminated without notice.
Reinstatement: Suspended accounts may be reinstated upon resolution of payment or policy issues at Diffy’s sole discretion.
12. Non-Transferability
Subscriptions, credits, and any associated benefits are non-transferable and may only be used by the individual or entity that purchased the plan.
13. Service Limitations
Scalability: Diffy’s services are designed for small to medium-sized projects. Excessive or unreasonable demands may require a custom plan or additional credit purchases.
Third-Party Tools and Platforms: Diffy may use third-party tools, software, or platforms to fulfill service requests. Diffy is not liable for any limitations or disruptions caused by third-party services.
14. Force Majeure
Diffy shall not be held liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, internet outages, or governmental actions.
15. Dispute Resolution
In the event of a dispute between Diffy and the client, both parties agree to first attempt to resolve the matter informally. If no resolution is reached, disputes will be handled under the laws of Singapore through mediation or legal proceedings, as applicable.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Singapore.
